Our Capital markets law and stock exchange law division has advised German and international banks for many years. The comprehensive legal work does not only cover legal issues of the classical capital markets law and stock exchange law , but also includes issues of banking supervision and fiscal evaluation of complex financial instruments.

We posess in-depth knowledge of many years in the fields of derivatives (bonds, certificates and warrants) and structured products. One emphasis in this field is the preparation of the complete documentation and handling of the issue of securities for our clients.

Our activity in this field ranges from the conception of the issue programme (classical EMTN programmes as well as structured bond programmes, base prospectuses for certificates and warrants) to the preparation of the issue programme and the handling of each individual issue, including the settlement and listing of the securities in close coordination with the Federal Financial Supervisory Authority (BaFin), the responsible clearing house and the stock exchanges. The handling of issues also includes the review of marketing flyers and term sheets including complex redemption formulas.
